Founder and Principal Attorney

Denise M. Guzman

Denise M. Guzman has been working in the South Bay for more than 30 years and has established a reputation for providing start-ups and already established private businesses with cost-effective legal counsel. She often functions as virtual in-house corporate counsel for many clients and is an integral part of key decision making and ongoing operational activities of her clients.

Denise also has significant experience in handling estate planning and trust administration matters. She has structured complex family trusts and foundations, charitable giving programs and family-owned business succession plans. She is a frequent speaker and guest lecturer on estate planning, probate and trust administration issues.

Ed Powell

Ed Powell practices in the corporate, securities, finance and banking law areas, with a focus on strategic and commercial matters including mergers and acquisitions, business financings and capital raising rounds, commercial transactions, ’33 Act offerings and ’34 Act reporting, ’40 Act compliance, regulatory matters and corporate governance and compliance.

With nearly two decades of legal experience, both as in-house corporate counsel and with top private law firms, Ed’s practice emphasizes the drafting, negotiation, and review of contracts, including financing agreements, asset and business acquisitions and dispositions, commercial agreements, equity and debt offerings, strategic transactions, investments and securities trading.  Ed represents entrepreneurs, businesses, financial institutions and investment funds at all stages of development and need, including entity and fund formation, management and maintenance, financings and capital raising rounds, acquisitions and dispositions, corporate planning and risk management, and workouts and restructurings.

Ed received his J.D. from The University of California, Berkeley, where he was an Editor of the California Law Review, and his B.A. with Highest Honors from The University of North Carolina, Chapel Hill.  Ed is a member of the State Bar of California.

Ed has served as a member of the Board of Directors of ACT1 of the American Conservatory Theater and the Professional Division of the Arts & Science Council.  Ed also is a regular speaker and contributor to legal and industry groups and journals on topics including commercial transactions, banking, antitrust, mergers and acquisitions and technology.

Transaction Summary

• Represented clients in mergers and acquisitions totaling over $15 billion in value.

• Represented clients in commercial real estate loans, finance facilities, repurchase agreements and commercial and mezzanine loans, totaling over $5 billion in value.

• Represented clients in fixed income and floating rate, public and private, domestic and international CMBS/ABS and CLO/CDO offerings totaling over $18 billion in value.

• Established and advised numerous investment funds, including equity and debt portfolios, managed accounts, CLO’s and CDO’s, distressed debt and other managed funds, and provide advice for LSTA/LMA debt trading, ISDA and other derivative agreements.

• Represented underwriters and companies in early stage, IPO and secondary offerings totaling over $5 billion in value.

• Represent clients in derivatives transactions, including interest rate and timing hedges, credit default swaps and perfect asset swaps.

Carol T. Contes

Carol T. Contes has practiced entertainment law for her entire career within the established Hollywood infrastructure as in-house counsel (networks, studios, large production companies, talent agencies, a performers’ union and a Silicon Valley game publisher), and now as a private practitioner. She specializes in negotiating agreements for the development, production of independent films, television and internet productions. She also is experienced with intellectual property licensing agreements, endorsements, and product branding and website agreements. Her clientele includes award-winning, international producers of film and television as well as successful independent Hollywood producers. Ms. Contes received her Bachelor of Arts and Juris Doctorate from the University of Arizona.

ASSOCIATE Attorney

Marcus Chang

Marcus Chang is a Business, Trust and Probate Attorney who brings a variety of legal skill to the GLG team. Marcus’s litigation experience was founded in prosecuting misdemeanors in the Phoenix, Arizona prosecutor’s office, as well as litigating removal proceedings in immigration court. This experience has served him well in litigating Probate and Trust Administration matters. Marcus also uses a collaborative style in guiding family members through difficult Trust Administrations. Furthermore, his knowledge of business formations and acquisitions aids to better serve the family businesses he works with to create their corporate succession and estate plan.

Marcus graduated from the University of California Los Angeles and the Sandra Day O’Connor College of Law at Arizona State University. He is licensed in both the state of California and Arizona.

Rich Luftman

Rich Luftman’s practice is focused in the areas of estate planning, probate, trust administration, conservatorships, guardianships, and elder law.  Throughout his career, Rich has worked to help his clients understand and navigate these complicated areas of the law in order to provide peace of mind.  His addition to the Guzman Law Group team strengthens many of the firm’s already established values including Professionalism, Integrity and Enthusiasm.

Rich graduated from Loyola Law School of Los Angeles in 2002 in the top 15% of his graduating class and was on the Dean’s List throughout law school.  Rich was a recipient of the Faculty Honors Scholarship Award and a member of the Saint Thomas More Law Honor Society, both while in law school.  He was also selected as a Southern California “Rising Star” from 2006-2008 by Super Lawyers.

George G. Romain

George G. Romain is a senior attorney with over 25 years of experience handling civil litigation in state and federal court. He holds a JD from the Boston University School of Law and was admitted to the California State bar in 1989. George began his career serving as an associate and later advancing to become a senior attorney for some of the most preeminent law firms in Los Angeles.

George handles complex business litigation cases, representing companies in contract, insurance coverage and other business matters. He provides counsel and strategic advice to employers and other business clients encompassing a full array of employment and business issues, from employee retention and termination, employee investigations, company personnel and disability policies, wage & hour disputes, trade secrets and unfair competition.

Among other topics, George has lectured on how to avoid errors and omissions claims, and California’s Fair Claims Settlement Practices regulations. He is the author of “Distress Signals,” an article published in Los Angeles Lawyer magazine that explores strategies for litigating claims of severe emotional distress. Additional published works and speaking engagements include: “Claims Adjusters Take Heed: Daubert Wants You” John Cooke Fraud Reporter; and “Protecting Yourself – Avoiding Errors and Omissions in the 90’s” presented to the Southwest Los Angeles Escrow Association.

Carla B. Hoffman

Carla Hoffman is an experienced estate planning attorney, with a particular emphasis on planning for individuals and families. Carla began her legal career as a litigator and transitioned into estate planning and trust administration. She skillfully handles the complex issues involved in this area of the law including representing conservators, trustees and beneficiaries in court.

Carla graduated with her J.D. from Loyola Law School in Los Angeles where she was on the Dean’s List and was a member of the Order of the Coif and St. Thomas More Law Honor Society. While at Loyola, Carla was the recipient of a Faculty Academic Scholarship and American Jurisprudence Awards in Trusts and Wills and Contracts Writing. She obtained her Bachelors of Science in Biology from University of California, Los Angeles. While at UCLA, Carla competed on the Women’s Ski Team.

Drew Hallett

Drew Hallett assists our attorneys' representation of companies in complex business litigation cases; contract negotiations and disputes; the registration, protection, and enforcement of their copyright and trademark rights; and other business matters.

Drew’s legal education was established at Loyola Law School, Los Angeles, where he honed in on sports, entertainment, and intellectual property law and was honored for his legal research and writing skills. He received a Bachelor of Business Administration and graduated with high distinction from the Stephen M. Ross School of Business at the University of Michigan, where he developed his business knowledge and acumen. He also received a Bachelor of Arts for Communications Studies from Michigan, which helps him understand the rapid and fluid changes in the digital and media landscape in the context of business, entertainment, and intellectual property. As a student, Drew was a judicial extern for the Superior Court of California, County of Los Angeles, and intern for 20th Century Fox and Big Ten Network.

When Drew is not in the office, he is probably spending his time rooting for his Wolverines on the gridiron or hardwood, or writing about them as a Football and Basketball Editor for SB Nation’s Maize n Brew website.

Tricia O’Shaughnessy is an Estate Planning Paralegal who also assists the Guzman Law Group team with Trust, Probate and Corporate needs.
